Welcome to Emilist. By accessing or using our website, products, or services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Services.

1. About Emilist

Emilist is a B2B marketplace that connects buyers and suppliers. We provide tools to discover products, exchange messages, and complete transactions using integrated payment solutions. Emilist is not a party to contracts between buyers and suppliers unless explicitly stated.

2. Your Account

• You must be at least 18 years old to use the Services.
• Keep your login credentials confidential and secure.
• You are responsible for activities that occur under your account.
• Provide accurate information. We may suspend or terminate accounts for fraud, misuse, or violation of these Terms.

3. Listings and Transactions

• Suppliers must ensure listings are accurate, lawful, and not misleading.
• Buyers are responsible for due diligence before purchase.
• Prices, taxes, duties, and shipping costs are determined by suppliers unless otherwise specified.
• All transactions are subject to applicable local and international laws and regulations.
• Emilist is a venue only. Contracts form directly between buyers and suppliers; we do not guarantee performance, quality, timelines, or outcomes.

4. Payments

Payments may be processed by third-party providers (e.g., MyFatoorah). By using payments, you agree to provider terms and authorise charges. Emilist may place holds, issue refunds, or reverse transactions in cases of dispute, suspected fraud, or policy violations.

5. Prohibited Activities

• Illegal, counterfeit, or restricted goods and services.
• Spam, harassment, hate speech, or IP infringement.
• Attempting to bypass fees, security, or the platform’s processes.
• Data scraping or reverse engineering without permission.

6. Messaging

Messaging is provided for business communications only. Do not share sensitive personal data. We may review message metadata to improve safety and service quality in accordance with our Privacy Policy.

7. Intellectual Property

Content on Emilist (trademarks, logos, UI, and text) is owned by or licensed to Emilist. You may not use our IP without written permission. You retain rights to content you provide and grant Emilist a non-exclusive license to host, display, and distribute it to operate the Services.

8. Disclaimers

The Services are provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uninterrupted or error-free operation.

9. Limitation of Liability

To the maximum extent permitted by law, Emilist is not liable for indirect, incidental, special, or consequential damages, including lost profits, arising out of your use of the Services.

10. Termination

We may suspend or terminate access at any time for violations of these Terms or misuse. Upon termination, certain provisions (ownership, disclaimers, limitations) survive.

11. Changes to These Terms

We may update these Terms. Material changes will be posted and effective upon publication unless stated otherwise. Continued use after changes means you accept the updated Terms.
